Latar Belakang Pelatihan GCG Series

Salah satu pilar dari Good Corporate Governance (GCG) adalah Governance Structure. Governance Structure terbagi menjadi Organ Utama yaitu: RUPS, Dewan Komisaris dan Direksi. Sementara Organ Pendukung terdiri atas Komite-komite, Corporate Secretary, Internal Audit, Komite Audit dan Sekretaris Dewan Komisaris.

Sekretaris Dewan Komisaris merupakan salah satu bagian penting yang mendukung kinerja Dewan Komisaris sebagai organ yang bertugas melakukan pengawasan atas pengelolaan perusahaan oleh Direksi. Di BUMN, Sekretaris Dewan Komisaris bahkan masuk dalam komponen struktur gaji yang disebutkan dalam RUPS. Oleh karena itu, pemegang jabatan ini tidaklah boleh dipegang secara asal-asalan oleh orang yang tidak berkompeten. Pemegang jabatan Sekretaris Dewan Komisaris dalam banyak aspek dapat dipersamakan dengan posisi Corporate Secretary (Sekretaris Perusahaan) di level Direksi dan jajaran manajemen. Namun demikian, kadangkala jabatan ini dipandang sebelah mata dan dilecehkan karena dianggap hanya mengerjakan fungsi administratif. Sehingga kadang memunculkan kesan pesimistis dengan ungkapan “Masih Perlukah ada Sekretaris Dewan Komisaris???

Hal ini harus dijawab para Sekretaris Dewan Komisaris dengan jawaban optimistis YA!!. Sekdekom bukan diciptakan hanya untuk tugas administratif mengurus Dewan Komisaris, namun merupakan fungsi yang strategis. Sekdekom harus memiliki pengetahuan yang mencukupi dibidang undang undang dan peraturan lain yang berhubungan dengan Dewan Komisaris, tugas dan wewenang komite komite dibawahnya serta punya pengetahuan Administrasi, komunikasi serta managerial skill yang dibutuhkan.

Bahkan, pemegang jabatan ini harus juga dapat bertindak sebagai Humas yang melaksanakan hubungan antara Dewan Komisaris dan jajaran manajemen. Oleh karena itu, Sekretaris Dewan Komisaris harus dibekali dengan pengetahuan yang cukup dalam pelaksanaan tugasnya, termasuk dalam aspek implementasi Good Corporate Governance (GCG). Workshop ini bertujuan untuk menghapus anggapan miring dan sebelah mata terhadap Sekretaris Dewan Komisaris. Pada akhirnya Sekdekom dapat menjadi bagian penting dari implementasi GCG. STRATEGIC THINKING TRAINING DESCRIPTION

Resolution of issues that do managers often have a negative impact and create new problems. In cases such as cost cutting program, Detmer (2006) observed cases of Rohr Corporation’s Riverside (RCR), California which originally caused the problem declining profits. The program is proven to increase 55% profit in the first year of implementation, but the impact on the 3% decline in sales in the next two or three years.

In the current global competition, managers face some big problems that are related to one another in a complex tangle of issues. Analytical approach as in the case of previous RCR seems to solve the problem of short-term profit decline, but when viewed in the larger system turned out to pose a new problem that has more impact than the previous problem solving

Peter Senge (2006), expert systems thinking, systems thinking and introduce 11 5 components of the new technology that is able to transform an organization into a learning organization. Eleventh five-component systems thinking and new technologies need to be understood and internalized by each manager, to be able to make strategic decisions that impact (not just logically), effective (not just efficiently), and harmony (not just static).

Strategic planning inventory and warehousing logistics management are the key success in logistic management and material flow in a manufacturer. The increasing of customer needs with a various product, make the company reviewing their inventory strategy. One of the main functions of inventory is material requirements planning, where its aims to plan the quantity and the moment when goods are needed at an optimum charge level by considering the usage factor and lead time material procurement. Material requirements planning system can be divided into two types, the dependent and independent inventory. Independent inventory have two methods used in material requirements planning, there are Fixed Order Quantity (Economic Order Quantity / Q system) and Fixed Order Period (System P). Both of these systems are different in terms of the concept and its application.
